Manage Data Rooms
Learn how to create a data room, organise it with folders, upload and rename files, and move folders and files.

A data room is a secure space where you keep documents to share with your investors — for example, the papers for a capital raise. You organise each room into folders and files. Your organisation can have as many data rooms as it needs.
Find your data rooms under Data Rooms in the side menu.
Create a data room

Go to Data Rooms.
Select Create new data room.
Fill in the fields below.
Select Create.
The new data room starts empty. To change its name or description later, open its actions menu (⋮) in the Data Rooms list and select Edit data room.
Tip: Name the room for its purpose, such as "Series B Raise" or "Board Papers 2026", so your team can tell the rooms apart.
Create a folder

Open the data room. In the Data Rooms list, open its actions menu (⋮) and select Go to data room.
Go to where you want the folder. Stay at the top level, or open an existing folder to create the new one inside it.
Select New folder.
Enter the Folder Name, then select Create folder.
A folder name can be up to 100 characters. It must be different from the other folders in the same place.
Note: Folders can be nested up to five levels deep. Inside a fifth-level folder, the New folder button is unavailable and shows "Maximum folder depth of 5 reached."
The path at the top of the list shows where you are. Select the data room name or any folder in the path to go back up.
Upload files
Files are uploaded into the folder you are in. To upload to the top level of the room, go back to the data room name first. You can upload a file in two ways.
Use the Upload button

Go to the folder you want the file in.
Select Upload. The Upload Document window shows the Destination the file will go to.
Choose or drop the file into the upload area.
Check the Document Name. It is filled in from the file name, without the extension. Change it if you want a clearer name.
Select Upload.
Drag and drop

Drag a file from your computer and drop it onto the file list. It uploads straight away into the folder you are in, using the file name (without the extension) as the document name. You can rename it afterwards.
Accepted files
Each file can be up to 2 GB.
Upload one file at a time.
The file's contents must match its extension. For example, a web page renamed to ".pdf" is rejected.
The document name can be up to 200 characters. It must be different from the other files in the same folder.
Note: Investors see the document name, not the original file name. When a file is downloaded, Cuspy adds the extension back — so a PDF named "Signed Term Sheet" downloads as "Signed Term Sheet.pdf". You don't need to type the extension yourself.
Important: If the data room is already shared, a new file is visible to its audience as soon as it is uploaded. Check that a file belongs in the room before you upload it.
Rename a file
Find the file in the data room.
Open its actions menu (⋮) and select Rename.
Enter the new Document Name, then select Save.
Renaming changes only the name. The file itself stays the same, and later downloads use the new name. The same name rules apply as when uploading.
You rename a folder the same way: select Rename from the folder's actions menu and enter a new Folder Name.
Move a folder
Find the folder in the data room.
Open its actions menu (⋮) and select Move to.
Choose the destination. Select a folder to go into it, or use the back arrow to go up. The data room name at the top of the list is the top level of the room.
Select Move here.
The folder moves with everything inside it — its subfolders and files. Its name and contents do not change.
Current location marks where the folder is now. Move here is unavailable there.
You can't move a folder into itself or into one of its own subfolders.
The folder and everything inside it must still fit within five levels. Folders that would go too deep are greyed out and marked "Folders can't go deeper".
The destination can't already hold a folder with the same name. Rename one of them first.
Move a file
Find the file in the data room.
Open its actions menu (⋮) and select Move to.
Choose the destination folder, or the top level of the room.
Select Move here.
The file keeps its name and contents. The destination can't already hold a file with the same document name.
Note: Folders and files can only be moved within the same data room. To put a file in another room, upload it there.
Naming rules
Names of data rooms, folders and files are also used as download file names, so they follow the same rules:
They can't contain these characters: \ / : * ? " < > |
They can't start or end with a space.
They must be unique in their location — data rooms within your organisation, and folders and files within the folder they sit in.
Permissions
Managing data rooms requires the data room management permission, which the default Administrator and Editor authorisation groups both carry. This permission covers every data room in your organisation — anyone who holds it can see and manage all of them.
Creating, uploading, renaming and moving also need an active subscription. Without one, these options are greyed out. If you cannot see Data Rooms or these options, ask your organisation administrator to check your authorisation group.
